As Italgas Reti we operate in a large part of the Italian territory and we are the concessionaire of the gas distribution service in about 4,000 Municipalities. We manage over 60,000 km of network with around 6.5 million active meters and around 6 billion cubic meters of gas distributed on average every year. Our operational headquarters are in Turin, but the management of the network is divided into Poles with a mostly regional or interregional character.

    Debt Composition

    Our debt is characterized by a high average maturity and a significant share of fixed-rate debt.

    The net financial position as of 31/12/2024 (including IFRS16) is €3,196 million.

     

                 

     

    Rating

    The rating of 2i Rete Gas has been assigned by the two leading independent international agencies: Moody’s and Standard & Poor’s.

    The “investment grade” credit rating from these agencies reflects the financial strength of the company.

    EMTN Programme

    The EMTN Programme offers flexibility and security, allowing us to diversify our funding sources and support our goals for innovation and infrastructure development in the natural gas distribution sector.

    Transparency towards the market

    Since 2014, 2i Rete Gas S.p.A. has issued bonds listed on the Irish Stock Exchange (ISE), an EU-regulated market, in order to broaden its funding sources under a medium-term note programme (EMTN), thus qualifying as a Public Interest Entity pursuant to Legislative Decree of January 27, 2010, No. 39.

    In compliance with EU transparency regulations (Transparency Directive), as well as market abuse legislation (Regulation (EU) No. 596 of the European Parliament and Council of April 16, 2014 – “MAR”) and its related implementing provisions, the company has adopted the following procedures:

    • Internal Dealing Procedure, which regulates the disclosure obligations of relevant persons when executing transactions on 2i Rete Gas securities;
    • Insider List Procedure, which outlines how to establish, maintain, and update the register of persons with access to insider information about 2i Rete Gas S.p.A., i.e., precise information that has not been made public, directly or indirectly concerning the issuer or one or more financial instruments, and which, if made public, could significantly affect the prices of those instruments or related derivative instruments;
    • Public Disclosure Procedure, which defines the criteria, actions, and responsibilities to ensure the effective and efficient communication of relevant information to the public.

    Reporting Channels

    The Supervisory Body of Italgas Reti monitors the effectiveness and adequacy of the Model 231 applied, reports on its implementation, approves the annual programme of supervisory activities and communicates the outcome of the activities carried out in the exercise of the assigned tasks.

      Italgas Reti adopts the Italgas Group’s Procedure for the management of reports  (link https://www.italgas.it/governance/etica-dimpresa/procedura-segnalazioni/) which defines a process of information flows for the receipt, analysis and determination of actions regarding alleged irregularities.

      Unbundling

      Managing Commercially Sensitive Information Italgas Reti has identified and regulated access to Commercially Sensitive Information, the disclosure of which according to discriminatory criteria would result in the alteration of competition and natural competition between operators.

      Access to Commercially Sensitive Information outside the commercial processes regulated by the Integrated Information System (SII) is allowed only by submitting a Moduleal request to BE forwarded to the attention of the Independent Operator at the email address gestoreindipendente@italgasreti.it specifying: the applicant’s data, the detail of the Information requested, the relative justification together with the declaration of acknowledgement of the contractual conditions of confidentiality.

      Head of the registry for the Contracting Authority (RASA)

      Italgas Reti, as the contracting authority, is required by law to appoint the person in charge of the Registry for the contracting authority (RASA).

      RASA is responsible for compiling and updating the Single Register of Contracting Authorities (AUSA) and for verifying and/or compiling and subsequently updating, at least annually, the Information and identification data of the contracting authority itself.

      The National Anti-Corruption Plan also intended the identification of RASA as an organisational transparency measure aimed at preventing corruption.

      The Managing Director of Italgas Reti – in compliance with the aforementioned provisions – appointed the Head of Procurement Services of Italgas, Eng. Vittorio Petrone, as Head of the Registry for the contracting authority (RASA).
